1. Acceptance of Terms
By creating an account or using the AMS platform ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you do not agree, please do not use the Service.
2. Description of the Service
AMS is a social media management platform that allows you to connect your social media accounts, create and schedule content, automatically publish posts, manage customer messages in a unified inbox, and operate an AI chatbot that responds using your uploaded knowledge base.
You acknowledge that the Service integrates with third-party platforms (including Facebook, Instagram, Threads, TikTok, X, WhatsApp and Telegram) and that your use of those platforms remains subject to their own terms, policies and API conditions, which may change from time to time and are outside our control.
3. Accounts and Registration
- You must provide accurate, current and complete information when registering, and you must keep your login credentials confidential.
- You are responsible for all activity that occurs under your account and for any accounts you connect to the Service.
- You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.
- You may not share, sell or transfer your account without our written consent.
4. Acceptable Use
You agree not to use the Service to:
- Post, transmit or promote content that is unlawful, defamatory, harassing, obscene, or that infringes the rights of any third party.
- Violate the terms or policies of any connected social media platform.
- Attempt to gain unauthorised access to the Service, other accounts, or our systems.
- Use the Service for spam, phishing, fraud, or any activity that is illegal or harmful.
- Resell, sublicense or make the Service available to third parties on a commercial basis without our agreement.
We may suspend or terminate your access if we reasonably believe you have breached these terms or the applicable law.
5. Third-Party Platforms
The Service relies on application programming interfaces (APIs) and developer programmes provided by third-party platforms. Availability, features, rate limits and approval status of these integrations can change or be withdrawn by the platform owners at any time, and we are not liable for any interruption or change caused by those platforms.
You are solely responsible for ensuring that your use of any connected account, including any content you publish or messages you send, complies with that platform's policies and all applicable laws.
6. AI-Generated Content and Chatbot
The Service includes artificial intelligence features, including content generation and an automated chatbot that responds to customers based on content you upload to your knowledge base. You acknowledge and agree that:
- AI-generated output may be inaccurate, incomplete or unsuitable for your business, and it is your responsibility to review content before publishing.
- You are responsible for the content you upload to the knowledge base and for ensuring it does not contain unlawful, infringing or misleading information.
- You are responsible for messages sent to customers through the chatbot, including compliance with consumer protection and data protection laws.
7. Fees, Subscriptions and Renewals
Certain features may require a paid subscription. Fees, billing terms and renewal conditions are presented at the time of purchase. Unless otherwise stated, subscriptions renew automatically until cancelled. You are responsible for all taxes and charges associated with your subscription. Where we provide access to paid third-party APIs (for example, social platform posting), usage may be subject to separate fees from those providers.
8. Intellectual Property
The Service, including its software, design, logos and content, is owned by or licensed to AMS and is protected by intellectual property laws. You retain all rights to the content you create and upload using the Service, and you grant us a limited licence to store, process and transmit that content solely to provide the Service to you.
9. Privacy
Your use of the Service is governed by our Privacy Policy, which explains what information we collect and how we use it.
10. Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your account, in whole or in part, if you breach these terms, if required by law, or to protect the security and integrity of the Service. Upon termination, your right to use the Service ends, and we will delete your data in accordance with our Privacy Policy, except where we are required to retain it by law.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE OR THAT RESULTS WILL BE ACCURATE OR RELIABLE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMS AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify and hold harmless AMS and its officers, directors, employees and agents from and against any claims, damages, liabilities and expenses (including reasonable legal fees) arising out of your use of the Service, your content, your violation of these terms, or your violation of any rights of a third party or applicable law.
14. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by posting the updated terms on this page and updating the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance of the revised terms.
15. Governing Law
These Terms are governed by the laws of Malaysia, without regard to its conflict-of-laws principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Malaysia.
